# Terms of service — **DRAFT**

> ## ⚠️ This is a draft and it has not been reviewed by anybody qualified.
>
> **Do not publish it.** It exists so that a solicitor has something specific
> to correct, and so that what it promises is what the code does. Every
> operational claim is traceable to a file in this repository; anything that is
> a commercial or legal choice rather than a fact is marked **[to confirm]**.
>
> **What a reviewer should be asked**, in this order:
> 1. **Can an agent form a contract?** Clause 2 says an agent may sign its
> company up and pay, and may never accept a line or a mandate. Whether that
> first half binds the company is the question these terms turn on and it is
> not ours to answer.
> 2. **The trial terms**, and specifically whether *no card to start, charged
> at the first point of real value* needs anything we have not written.
> 3. **The liability cap and the warranty position** in clause 7 — a cap of
> the fees paid in the previous 12 months, and *as is*. Both are
> Callum's decision rather than a guess, and whether they are
> enforceable as written is the question.
> 4. Whether *observation only* — that nothing here blocks anything today —
> needs to be a term rather than a sentence in a response.

Last reviewed: **never.** Drafted 11 October 2026.

## 1. What you are buying

A control layer for commitments. It **records** what your agents and your
people commit to on your company's behalf, caps what agents may spend and
promise, and expands that autonomy only as it is earned.

**It records; it does not block.** Every answer carries
`observation_only: true` today, and that is in the answer rather than in
documentation so that a caller which honours it goes on working unchanged the
day it becomes false. **[to confirm]** whether that needs to be a term.

**Reynforce records and checks promises. It does not make them.** Every
promise is made by your agent or by your person, in your company's name,
and it is your company's promise. **We are not responsible for what an
agent promises** — not for whether it is true, not for whether it can be
kept, and not for what follows if it is not. What we are responsible for is
recording it accurately and answering the checks you ask us.

**What it is not:** it does not read your email or your CRM unless you connect
one, it does not keep the text of your messages beyond the one sentence a
promise was made in — **capped at 1,000 characters** — and **it does not
guarantee that anything an agent says is true.** It records what was committed and under what authority. The
judgement remains your company's.

## 2. Agents, and the line that does not move

**An agent may sign its company up and may pay for the service.**

**An agent may never accept a claim or approve a mandate.** Lines an agent
drafts stay *proposed*, and a check against one answers *not yet confirmed by a
person* — never *allowed*. **Paying does not change this**, and a paid agent's
tool list is identical to an unpaid one's.

**Ownership passes by email to the person the agent names**, and following that
email reaches a sign-in. **There is no link that grants ownership to whoever
holds it.** If the person named did not expect it, ignoring the message costs
nothing: nothing is created and nothing is charged.

**[to confirm]** Whether an agent's sign-up and payment binds the company it
names, and what has to be true for it to. This is the question.

## 3. Your data

Governed by the privacy notice. The parts that are terms rather than
description:

- **It is yours.** Export is available to any signed-in member at any time, as
  the whole store.
- **Each customer runs on its own deployment.** Not a shared database with a
  tenant column.
- **We do not use your data to train anything**, ours or anybody else's, and
no customer data is sent to a model by this platform.
- **The record is kept 24 months**, then deleted — except that a record of a
commitment nobody has closed is **never deleted on age**, and every deletion
  is itself recorded.

## 4. What it costs

Priced per agent, per month, in GBP, billed monthly, **cancel any time**. The
current prices are on the pricing page and are generated from one place in
the code, so the page and the invoice cannot disagree.

**The figure on the pricing page is the figure charged.** Nothing is added
to it at checkout. If that changes, this clause and every published price
change with it.

**The price is the same whoever pays**, including an agent paying for itself.
There is no charge per check.

**No card to start.** Payment is taken at the first point of real value, by
whichever comes first: the agent from its own card or budget, or the person
responsible for it at the moment they accept a line. **The acceptance happens
first and the card is asked for after** — an acceptance held behind a card
would be a company's own claim about itself held hostage.

**The trial is 14 days** and the owner is emailed **three days before the first
charge**. Stopping before then costs nothing.

**[to confirm]** Whether these are consumer or business terms, and what
happens to a part-month on cancellation.

## 5. Cancelling

One click, any time. Nothing further is charged and the workspace keeps working
to the end of the period paid for. The record is kept as in clause 3, and the
export remains available while a member can sign in.

**[to confirm]** Whether a refund position is needed, and what it is.

## 6. Availability, and what we do not promise

**There is no uptime commitment in this draft**, because making one would be a
promise this product exists to stop people making carelessly. What is true
today:

- A deploy replaces a machine, so a request in flight at that moment is lost.
- A customer's deployment is **one machine**; the platform's front door is two.
- **If the front door's control plane is unreachable, nobody signs in and every
signed-in customer keeps working**, because routing never reads it.

**[to confirm]** Whether to offer a service level at all, and what it should be
before any of it is sold on.

## 7. Liability, and what we do not warrant

**This is early access and the service is provided as is.** There is no
warranty, express or implied, that it is fit for a particular purpose, that
it will be uninterrupted, or that what it records will satisfy any
particular regulator or counterparty. Clause 6 says what is true about
availability today.

**Our liability is capped at the fees you have paid in the previous 12
months.** On a free trial, nothing has been paid, so the cap is nil.

**We are not liable for what an agent promises.** A promise made in your
company's name is your company's promise, whoever or whatever typed it.
What we undertake is to record it and to answer the checks you ask us, and
clause 1 says so in the same words.

**Nothing here limits liability that cannot be limited** — death or personal
injury caused by negligence, fraud, or anything else the law does not allow
to be excluded.

**[to confirm]** Whether the cap, the exclusions and the as-is position are
drafted enforceably, and whether a business-to-business position changes any
of them. The numbers in this clause are Callum's decision; the drafting is
not ours to settle.

## 8. Changes

These terms will be dated when they are first published, and a change that
affects what you pay or what we hold will be emailed to the owner. A draft has
no history and claims none.

## 9. Law

**[to confirm]** Governing law and jurisdiction. England and Wales is the
obvious answer and it is not one to assume.

in it do not, and are marked.*
